PC goes after Crown AMG
VISTA - A lawsuit filed by an international motocross racing team alleges a Carlsbad-based management group misrepresented its status as an authorized sports agent in order to collect hundreds of thousands of dollars in commissions.

The suit -- filed late Tuesday on behalf of Pro Circuit Racing Inc. against Crown Athlete Management Group Inc. and its husband-and-wife owners, Scott and Shana Sepkovic -- seeks a refund of nearly $500,000 in commissions that Crown AMG allegedly received improperly.

Crown AMG's business manager, Sara Hinojosa, said she could not comment on the lawsuit and referred all questions to the company's legal staff.

According to the lawsuit, California law requires sports agents to make certain mandatory disclosures to the secretary of state prior to acting as an agent.

The racing team alleges that Crown AMG failed to make those mandatory disclosures with respect to Pro Circuit, which renders its sponsorship contract void and unenforceable.

According to the lawsuit, the law requires Crown AMG to refund all of the commissions it received due to its alleged failure to comply with the disclosure requirements.

The plaintiffs are also seeking to eliminate Crown AMG's claims that it is owed additional commissions from Pro Circuit on old sponsorship deals, and to recover a refund for the alleged improper commissions Crown AMG already received.

sounds like pro circuit wants money back from them because of a technicality (not properly filing with the state).......not because of a business deal gone bad.

Without prejudice generally means it can be refiled, there were probably counterclaims from crown for additional commissions and claims from pro circuit for commissions already paid.

With prejudice means it is over. This could be a step on the way to settlement but payment has not been made. Since it was a dismissal against both sides that probably makes sense but I am shooting from the hip.

How do you carry on with the relationship after asking for all your money back from day one? It's a weird situation, looking from the outside.

A Carlsbad, Ca. married couple (Scott and Shana Sepkovic) doing business as Crown Athlete Management Group, Inc. is being sued in the Superior Court of California in San Diego for illegally representing action sports athletes in violation of California state law.

In the lawsuit brought by law firm Callahan & Blaine on behalf of Pro Circuit Racing, Inc., the plaintiff action sports corporation alleges that Crown AMG was in violation of the Miller-Ayala Athlete Agents Act when it entered into a contractual representation agreement with Pro Circuit, and continued to represent Pro Circuit while in violation of the Act. One of the sponsorship deals Crown AMG secured for Pro Circuit was with Hanson Beverage Company, the producer of Monster Energy Drink.

The lawsuit comes as a result of Crown AMG demanding additional commissions from Pro Circuit on old sponsorship deals, according to Callahan & Blaine.

In its complaint, the plaintiff sports corporation alleges three causes of action: (1) violation of the Miller-Ayala Athlete Agents Act (Business & Professions Code §18895, et seq.); (2) rescission of written contract; and (3) unfair business practices. Pro Circuit’s prayer for relief totals $440,000, which it claims was the amount of damages incurred in commissions improperly received by Crown AMG.

Court documents allege that Crown AMG did file the necessary paperwork with the California Secretary of State in 2004, in order to comply with the Miller-Ayala Athlete Agents Act, but the paperwork was incomplete, and in some places, false and misleading.

The Act requires that any represented entity must be listed on the filing with the state before representation may begin, and any amendments must be filed within seven days of any change. Pro Circuit points out that it was never listed on Crown AMG’s filing. As the Act states, any agreement and contract entered into by an agent who has not properly filed is rendered unenforceable. Additionally, the statute provides for a refund of all commissions paid to the agent, as well as recovery of attorneys’ fees, costs, and punitive damages.

In its third claim for unfair business practices, Pro Circuit alleges that Crown AMG used unlawful, unfair, and/or fraudulent business acts or practices in dealing with Pro Circuit. Pro Circuit alleges that Crown AMG held itself out as a legitimate, registered California sports agent, and stated so in its representation agreement. In the sponsorship procurement contract between the two entities filed with the court, it states: “This athlete agent…has current public disclosure information on file with the California Secretary of State as required by the Miller-Ayala Athlete Agents Act…”

Daniele J. Callahan, of Callahan and Blaine, counsel for Pro Circuit, weighed in on the importance of the lawsuit. “It is unfortunate that some sports agents think they can get rich by preying on these action sports athletes in violation of the law. The sports agent law is in place to protect the athletes in those situations. I anticipate that other action sports athletes who unknowingly paid commissions to Crown AMG and Scott Sepkovic that they were not entitled to receive will likely be seeking their refunds as well.”

So to put it in laymen's terms, sepkovic/crown brought monster to pro circuit, pro circuit paid at first, then found out there was a technical registration violation of the sports act. pc refused to pay, and sued for payment already made.

It reads like the parties dismissed their complaints and cross complaints and walked. And generally people don't pay settlement money for a dismissal without prejudice (which, as someone mentioned, allows the party to refile assuming the statute of limitations hasn't run).

There was a lot going on at the end there with discovery and merits motions. I checked, but the judge never entered any tentative rulings. Without talking to folks there, who knows, but it looks people got close enough to the edge to know they didn't want to push it any further.

So to put it in laymen's terms, sepkovic/crown brought monster to pro circuit, pro circuit paid at first, then found out there was a technical registration violation of the sports act. pc refused to pay, and sued for payment already made.
Or Sepkovic/Crown brought his client Monster to his client Pro Circuit, skimmed a commission off the top of the sponsorship money without PC knowing, and PC got pissed and sued using every legal weapon at their disposal including the alleged technical filing violation.

I would imagine a company that goes from 115 million in sales to 1.18 billion in 6 years attracts the attention of Wall street. Maybe the initial agreement between Sepkovic and Hall was too generous and Monster is trying to save money to keep up their stock price.

Bang on.

The Ripper pretty much single handedly got Monster in to the action sports / moto sports industry ( how do you think they got, among others, the God of Moto GP Valentino Rossi ??? ) .

When they realized how much they were putting in his ( Sepkovics ) back pocket, an amount which they agreed on in the first place, and once all the contacts had been made and the brand name was recognized, they decided to lose Scott by all means possible and pocket all the money.
